General Terms and Conditions
1. These General Terms and Conditions (GTC) apply to all contracts between AH Mediaservice GmbH (hereinafter referred to as 'AHM') and its customers regarding the rental, sale of goods, and provision of services.
2. Deviating GTCs of the customer shall only apply if AHM expressly agrees to their validity in writing.
3. Offers, concepts, sketches, and other documents created are the intellectual property of AHM and may not be disclosed to third parties or used without prior written consent.
4. The AHM privacy policy in its current version applies (privacy)
§ 2 Conclusion of Contract
1. Offers are subject to change and non-binding unless expressly designated as binding.
2. Prices are quoted – unless otherwise indicated – net plus statutory VAT (for consumers including VAT).
3. A contract is concluded by:
a. acceptance of a written offer,
b. written order confirmation, or
c. handover/provision of the goods or commencement of the service.
§ 3 Delivery and Transfer of Risk
1. Deliveries are made from the Kerpen warehouse. At the customer's request, the goods will be shipped at their expense.
2. For entrepreneurs, the risk of accidental loss or deterioration passes to the transport company upon handover.
3. For consumers, the risk passes only upon handover to the customer.
§ 4 Rental Items
1. The customer is obliged to handle rental items with care and to allow their use exclusively by qualified personnel.
2. The customer must ensure adequate power supply. Damages caused by power failure or fluctuations shall be borne by the customer insofar as they are responsible.
3. The customer is liable for loss and damage up to the amount of the replacement value, unless they are not responsible.
4. Return must be made in full and in proper condition.
§ 5 Subletting
1. Subletting or transfer is only permitted with the written consent of AHM.
§ 6 Warranty
1. AHM provides the rental object in functional condition. The customer is obliged to report any identifiable defects without delay.
2. AHM is entitled to remedy defects, at its discretion, either by rectification or replacement delivery.
3. Consumers are entitled to the statutory warranty rights.
§ 7 Liability
1. AHM shall be liable without limitation in cases of intent, gross negligence, and for injury to life, body, or health.
2. In cases of slight negligence, AHM shall only be liable for the breach of essential contractual obligations (cardinal duties), limited to the typically foreseeable damage.
3. Any further liability, in particular for indirect damages or lost profits, is excluded.
4. The above limitations of liability shall also apply in favor of AHM's employees and subcontractors.
§ 8 Insurance
1. The customer undertakes to insure rental items adequately against loss and damage. Proof shall be provided upon request.
§ 9 Payment Terms
1. Invoices are payable within 14 calendar days of the invoice date without deduction, unless otherwise agreed.
2. No cash discount shall be granted.
3. Objections to invoices must be raised in writing within 10 calendar days. Written form includes fax and email; in the case of emails, a read receipt shall constitute confirmation of receipt.
4. Deviating payment terms require written agreement.
§ 10 Cancellations
1. In the event of cancellation of services, the following compensation shall apply (for entrepreneurs):
a. up to 14 days before commencement: 50%,
b. up to 7 days before commencement: 75%,
c. from 2 days before commencement: 100%.
d. For consumers: the actual costs incurred and lost profits will be charged.
§ 11 Retention of Title
1. Delivered goods remain the property of AHM until full payment has been made.
2. Pledging or transfer by way of security without consent is not permitted.
§ 12 Services and Remuneration
1. Daily Rates:
a. A working day comprises a maximum of 10 working hours, including legally required breaks.
b. Each additional working hour shall be remunerated at 1/8 of the agreed daily rate.
c. If the agreed daily rate is not fully utilized, no reduction in remuneration shall be made.
d. Travel times from the hotel to the event location and back are deemed working time.
e. Travel days and off-days shall be charged at 100% of the daily rate unless otherwise agreed in writing.
2. Work Contracts:
a. Before concluding a work contract, the essential framework conditions (service description, schedules, travel routes, accommodations) must be agreed upon between the parties.
b. The agreed remuneration shall be deemed a fixed price for the work described in the contract.
c. Adjustment of the remuneration (increase or reduction) shall only occur if:
i. completion is delayed due to circumstances attributable to the client or third parties,
ii. additional working hours are required to comply with statutory working time or rest regulations, or
iii. travel routes or accommodations are subsequently changed, resulting in verifiable additional costs.
§ 13 Transport to the Place of Deployment
1. When traveling by private car, €0.40 per kilometer driven will be charged.
2. Rail travel is in 2nd class without BahnCard and will be charged accordingly.
3. Public transport will be reimbursed against submission of tickets.
4. For rental vehicles, comprehensive insurance with deductible ≤ €500 shall be obtained if possible.
5. Air travel must be agreed upon with AHM in advance. For flights with a net flight time of more than 6 hours, business class must be booked.
§ 14 Occupational Safety
1. The client must inform AHM in good time, at the latest 48 hours before commencement of work, of possible hazards and risks at the place of deployment.
2. AHM shall not carry out work at heights, in particular not on ladders over 3m, in personnel lifts, or using rope-assisted techniques.
§ 15 Catering
1. The client shall provide the contractor with appropriate catering from the commencement of work as well as sufficient beverages throughout working hours.
2. If this is not ensured, the applicable statutory meal allowances will be charged.
3. For overnight stays at home, half the allowance per working day will be charged.
4. Further differentiation by hours of presence is excluded.
5. If no catering is provided, the client must inform AHM at least one day before commencement of work.
§ 16 Payment Deadline / Invoice Objection
1. Invoices are payable within 14 calendar days of the invoice date without deduction, unless otherwise agreed.

§ 17 Cancellation of Services
1. In the event of cancellation by the client, the following compensation shall apply (B2B):
a. up to 14 days before commencement: 50%,
b. up to 7 days before commencement: 75%,
c. from 2 days before commencement or later: 100%.
d. For consumers: the actual costs incurred and lost profits will be charged.
§ 18 Assignments on Cruise Ships
1. During assignments on cruise ships, the contractor must be accommodated in a single cabin. Priority shall be given to a passenger cabin.
2. If a passenger cabin is demonstrably unavailable, an officer's cabin with private bathroom or a double cabin for single use will be accepted.
3. Accommodation in shared cabins (e.g., double, four-bed, or six-bed cabins) or so-called 'single-share cabins' is expressly not accepted.
4. For arrival and departure, the provisions of § 13 (Transport) apply. In particular, for flights exceeding 6 hours, business class must be booked.
5. Deviations from these rules are only permitted with prior written agreement with AHM.
§ 19 Jurisdiction, Applicable Law
1. German law shall apply.
2. Place of jurisdiction for entrepreneurs is Cologne.
3. For consumers, the statutory place of jurisdiction shall apply.
§ 20 Final Provisions
Should individual provisions be invalid, the validity of the remaining provisions shall remain unaffected. Amendments and supplements require written form.
